Fiber Market Exchange Terms of Service

Welcome to Fiber Market Exchange. These Terms of Service (“Terms”) govern your access to and use of the Fiber Market Exchange website, marketplace, products, services, and related features (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who We Are

Fiber Market Exchange is an online marketplace that allows users to buy and sell yarn.

Throughout these Terms, “Fiber Market Exchange,” “we,” “us,” and “our” refer to the operator of the Platform.

“You” refers to any visitor, buyer, seller, or user of the Platform.

2. Eligibility

You must be at least 18 years old to use the Platform.

By using the Platform, you represent that:

• You are at least 18 years old
• You have the legal authority to enter into a binding agreement
• All information you provide is accurate and complete
• You will comply with these Terms and all applicable laws

3. Accounts

You may need to create an account to use certain features of the Platform.

You are responsible for:

• Maintaining the confidentiality of your login information
• All activity that occurs under your account
• Keeping your account information accurate and current

You may not:

• Share your account with another person
• Create multiple accounts without permission
• Use another person’s account
• Transfer or sell your account

We may suspend or terminate your account at any time, with or without notice, for any reason or no reason.

4. Marketplace Only

Fiber Market Exchange is a venue that connects buyers and sellers.

We are not the seller of items listed on the Platform. We do not own, inspect, test, verify, guarantee, or control the items listed by sellers.

Transactions are solely between the buyer and the seller.

We are not responsible for:

• The quality, safety, legality, authenticity, or condition of items
• Whether a listing is accurate
• Whether a seller has the right to sell an item
• Whether a buyer or seller will complete a transaction

5. Permitted Items

At this time, only yarn may be listed or sold on the Platform.

Permitted yarn listings may include:

• New yarn
• Partial skeins
• Hand-dyed yarn
• Vintage or discontinued yarn
• Sweater quantities

The following are not permitted:

• Knitting needles, crochet hooks, stitch markers, project bags, or other tools
• Finished handmade goods
• Patterns or digital downloads
• Fiber arts supplies other than yarn
• Counterfeit or illegal goods
• Hazardous materials
• Anything that violates applicable law

We may remove any listing at any time.

6. Purchases and Payments

When you make a purchase, you agree to pay all amounts due, including:

• Item price
• Shipping charges
• Applicable sales tax

Fiber Market Exchange may collect and remit sales tax as a marketplace facilitator.

We use third-party payment processors to process payments and payouts.

We are not responsible for delays, errors, or failures caused by payment processors.

7. Seller Responsibilities

Sellers are responsible for:

• Providing accurate listings
• Shipping orders within 2 business days
• Accurately describing the condition and details of the yarn
• Communicating with buyers respectfully
• Complying with the Seller Agreement and applicable laws

Sellers are solely responsible for the items they list and sell.

8. Buyer Responsibilities

Buyers are responsible for:

• Reviewing listings carefully before purchasing
• Providing accurate shipping information
• Contacting the seller promptly if there is an issue
• Using the Platform lawfully and respectfully

9. Shipping, Returns, and Refunds

Shipping times and methods are determined by the seller.

Unless otherwise stated, sellers are expected to ship within 2 business days.

Returns and refunds are governed by the applicable seller policies and Fiber Market Exchange policies.

We may issue refunds, reverse transactions, or place holds on funds if:

• An item is not received
• An item is materially different from the listing
• A chargeback or dispute occurs
• Fraud or suspicious activity is suspected

10. Fees

Fiber Market Exchange charges sellers a 10% marketplace fee.

We may change our fees at any time upon notice.

11. Intellectual Property

The Platform, including its name, logo, text, graphics, software, and design, is owned by Fiber Market Exchange or its licensors and is protected by law.

You may not copy, reproduce, distribute, modify, or use any part of the Platform without written permission.

You retain ownership of content you upload, but by uploading content you grant Fiber Market Exchange a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and promote that content in connection with the Platform.

12. User Content

You are responsible for any content you upload, including:

• Listings
• Photos
• Reviews
• Messages

You represent that:

• You own the content or have permission to use it
• The content does not violate any law or third-party rights
• The content is accurate and not misleading

We may remove or modify content at any time.

13. Prohibited Conduct

You may not:

• Violate any law
• Engage in fraud, deception, or abuse
• Circumvent marketplace fees
• Use the Platform to harass, threaten, or harm others
• Upload malicious code or attempt to interfere with the Platform
• Copy another user’s content without permission
• Manipulate reviews or ratings
• Attempt to move a transaction off-platform

14. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice.

We may also:

• Remove listings
• Cancel transactions
• Hold funds
• Deny future access

15. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Fiber Market Exchange disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, availability, and non-infringement.

We do not guarantee that:

• The Platform will be uninterrupted or error-free
• Listings will be accurate
• Transactions will be completed
• The Platform will always be secure or available

16. Limitation of Liability

To the fullest extent permitted by law, Fiber Market Exchange and its owners, employees, contractors, and affiliates are not liable for:

• Indirect, incidental, consequential, special, or punitive damages
• Lost profits or business opportunities
• Loss of data
• Shipping delays
• Actions of buyers or sellers
• Payment processor failures
• Website downtime

Our total liability to you for any claim shall not exceed the amount you paid to Fiber Market Exchange during the 12 months before the claim arose.

17. Indemnification

You agree to indemnify and hold harmless Fiber Market Exchange and its owners, employees, contractors, and affiliates from any claims, losses, damages, liabilities, and expenses arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your listings or content
• Your violation of any law or third-party rights

18. Arbitration and Class Action Waiver

Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally.

Any dispute arising from or relating to these Terms or the Platform shall be resolved exclusively through binding individual arbitration in Lackawanna County, Pennsylvania.

You agree:

• Not to participate in a class action, collective action, or mass arbitration
• To waive any right to a jury trial
• That claims must be brought individually

Any claim must be brought within one year after the event giving rise to the claim.

19. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania.

If any dispute is permitted to proceed in court, it must be brought exclusively in the state or federal courts located in Lackawanna County, Pennsylvania.

20. Privacy

Your use of the Platform is also governed by our Privacy Policy.

21. Changes to These Terms

We may change these Terms at any time.

If we make material changes, we will provide notice through the Platform, by email, or both.

Your continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms.

22. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

23. Entire Agreement

These Terms, together with any policies, the Seller Agreement, and the Privacy Policy, constitute the entire agreement between you and Fiber Market Exchange.
