This Seller Agreement (the “Agreement”) is entered into between Fiber Market Exchange, operated by Fiber Market Exchange, LLC (“Fiber Market Exchange,” “we,” “us,” or “our”), and the individual or business registering as a seller on the platform (“Seller,” “you,” or “your”).
By creating a seller account, listing an item for sale, or using the Fiber Market Exchange platform, you agree to be bound by this Agreement.
To sell on Fiber Market Exchange, you must:
You may register either as an individual or as a business entity.
You are an independent seller using the Fiber Market Exchange platform. Nothing in this Agreement creates an employment, agency, franchise, joint venture, or partnership relationship between you and Fiber Market Exchange.
You control:
You are solely responsible for operating your business and complying with all applicable laws.
You are responsible for maintaining the security of your account and password.
You agree to:
We may suspend, limit, terminate, restrict, remove listings from, or otherwise take action against your account at any time, with or without notice, for any reason or no reason, including if we believe your account, listings, or activity may create legal, financial, reputational, or operational risk to Fiber Market Exchange, other users, or the platform.
Fiber Market Exchange currently permits the sale of yarn only.

We reserve the right to remove any listing at our discretion.
You are responsible for creating accurate and complete listings.
Each listing must:
Where applicable, you agree to accurately disclose:
You may not intentionally misrepresent an item.
Photos must clearly show the actual item being sold.
For yarn listings, we strongly recommend including at least:
Photos may not contain watermarks, copyrighted images you do not own, or misleading edits.
You set your own prices.
You may consider factors such as:
Fiber Market Exchange charges a flat fee equal to 10% of the total sale price, excluding sales tax.
Unless otherwise stated, the fee is calculated on:
The 10% fee does not apply to sales tax collected from the buyer.
We may change our fees in the future upon reasonable notice.
Fiber Market Exchange acts as a marketplace facilitator.
Where required by law, we may collect and remit applicable sales tax on your behalf, including tax on shipping charges where required.

You agree to ship sold items within 2 business days unless otherwise stated in the listing.

You are responsible for the accuracy of your shipping charges.
If you fail to ship within 2 business days, we may:
You remain responsible for the item until it is delivered to the buyer.
If an item is lost, damaged, or misdelivered in transit, you are responsible for cooperating with the buyer and shipping carrier to resolve the issue.
Fiber Market Exchange is not the seller of your items and is not a party to the transaction between you and the buyer. We merely provide the platform and payment facilitation services.
We do not inspect, test, authenticate, guarantee, or verify:
All services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
Fiber Market Exchange may allow returns in accordance with our Return Policy.

We may issue a refund to a buyer if:
If we issue a refund because of your actions or inaccurate listing, we may deduct the refunded amount from your account or future payouts.
Fiber Market Exchange offers weekly payouts.
Unless otherwise stated, available funds are paid every Tuesday.
Funds become available for payout only after:

Sale Price + Shipping Charges – Marketplace Fees – Refunds – Chargebacks – Applicable Holds
Sales tax collected from the buyer is not included in your payout.
We may delay, hold, reserve, reverse, offset, or withhold funds at any time if:
We may maintain a reserve against future refunds, disputes, or chargebacks where reasonably necessary.
You authorize us to offset any amounts you owe us against future payouts, including refunds, chargebacks, fees, penalties, negative balances, shipping claims, or other amounts owed.
If your account balance becomes negative, you agree to promptly reimburse Fiber Market Exchange for the full amount owed. You authorize us to charge any payment method or bank account you have provided to recover amounts owed.
If a chargeback or dispute is filed by a buyer, we may immediately hold, reverse, or deduct the amount in dispute from your account pending resolution.
If you fail to claim a payout, provide required tax information, or maintain a valid payout method for more than 180 days, we may continue to hold the funds, deduct administrative costs, or remit or dispose of the funds as required by applicable law.
We use third-party payment processors to process transactions and payouts.
You may be required to provide:
You authorize us and our payment processor to verify your identity and account information.
Failure to provide requested information may result in delayed or suspended payouts.
Before receiving payouts, you may be required to submit a completed W-9 or other tax form.
You are responsible for ensuring that your tax information is accurate.
We or our payment processor may issue a Form 1099-K or other required tax document if your activity meets applicable reporting thresholds.
You agree to communicate with buyers courteously and promptly.
You may not:

You retain ownership of the photos, text, and content you create.
By posting content on Fiber Market Exchange, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and promote your content in connection with operating and marketing the platform.
You represent that you own or have permission to use any content you upload.
We may suspend, restrict, or terminate your account immediately if:
If your account is terminated, we may:
You may not transfer, assign, sell, or otherwise transfer your account or rights under this Agreement without our prior written consent.
To the fullest extent permitted by law, Fiber Market Exchange is not liable for:
Our total liability to you for any claim shall not exceed the total fees you paid to us during the 12 months before the claim arose.
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, severe weather, strikes, labor shortages, internet outages, cyberattacks, acts of government, changes in law, payment processor failures, shipping carrier disruptions, or other force majeure events.
You agree to indemnify and hold harmless Fiber Market Exchange and its owners, employees, contractors, and affiliates from any claims, losses, liabilities, damages, costs, or expenses arising from:
We may update this Agreement, our fees, payout schedules, policies, features, or platform functionality at any time.
If we make material changes, we will provide notice by email, through the platform, or both. Continued use of the platform after the effective date of the updated terms constitutes acceptance of the revised terms.
We reserve the right to discontinue or modify any aspect of the platform at any time.
Before filing any legal claim, you agree to first contact Fiber Market Exchange and attempt to resolve the dispute informally.
Any dispute, claim, or controversy arising out of or relating to this Agreement, your use of the platform, or your relationship with Fiber Market Exchange shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
You agree that:
You and Fiber Market Exchange each waive the right to a jury trial.
Notwithstanding the foregoing, Fiber Market Exchange may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or platform security.
Any claim must be brought within one year after the event giving rise to the claim occurred. Any claim not brought within that period is permanently barred.
To the fullest extent permitted by law, your exclusive remedy for any dispute is limited to the amount of fees you paid to Fiber Market Exchange during the 12 months before the dispute arose.
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
To the extent any dispute is permitted to proceed in court rather than arbitration, you agree that it must be brought exclusively in the state or federal courts located in Lackawanna County, Pennsylvania.
If we receive a claim alleging that your listing, photos, text, or other content infringes another person’s copyright, trademark, or other intellectual property rights, we may remove the content immediately, suspend your account, or take any other action we believe appropriate, without prior notice.
We are not required to investigate, defend, or resolve intellectual property disputes between users and third parties.
We may cooperate with law enforcement, courts, government agencies, or legal requests and may disclose information about you, your account, or your transactions if we believe it is necessary or appropriate.
We may require high-volume sellers, including sellers with more than $10,000 in annual sales through Fiber Market Exchange, to maintain general liability insurance and provide proof of insurance upon request.
The following sections survive termination of this Agreement: fees, taxes, payouts, negative balances, limitation of liability, indemnification, dispute resolution, governing law, intellectual property, and any other provisions that by their nature should survive termination.
